Terms of service
These terms govern your access to and use of the Aqurio website and platform. Customer contracts (Master Subscription Agreements and Business Associate Agreements) take precedence over these terms for paid use of the platform.
1. Acceptance of terms
By accessing or using the Aqurio website (aqurio.ai and subdomains) or the Aqurio platform, you agree to be bound by these terms. If you are entering into these terms on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
2. Service definition
Aqurio is an agentic AI platform for healthcare communications. It includes:
- SmartAgent — inbound AI voice and digital agents for patient access workflows.
- SmartEngage — proactive outbound campaigns across voice, SMS, and email.
- SmartAnalytics — interaction intelligence and quality monitoring across every conversation.
The specific features, service levels, and usage limits available to a customer are described in that customer's order form and Master Subscription Agreement (MSA).
3. Accounts and access
To access certain features of the platform, you may need to create or be provisioned an account. You are responsible for safeguarding your credentials, for all activity that occurs under your account, and for notifying us immediately of unauthorized access. We may suspend or terminate accounts that we reasonably believe are being used in violation of these terms.
4. Acceptable use
You agree not to:
- Use the platform for any purpose that violates applicable law, including TCPA, HIPAA, state privacy laws, or telemarketing rules.
- Send unsolicited commercial messages or contact individuals who have not provided appropriate consent.
- Upload content that infringes intellectual property rights, contains malware, or facilitates harm.
- Reverse engineer, decompile, or otherwise attempt to extract source code, except to the extent permitted by law.
- Use the platform to compete with Aqurio, train a competing model, or benchmark for the purpose of publishing comparisons without prior written consent.
- Circumvent or interfere with security, rate limits, or access controls.
5. Customer data and PHI
You retain all rights in the data you submit to the platform ("Customer Data"). You grant Aqurio a limited license to process Customer Data to provide and improve the service. Where Customer Data includes protected health information (PHI), processing is governed by the Business Associate Agreement (BAA) in addition to these terms. Aqurio does not use PHI to train third-party models.
6. Intellectual property
Aqurio retains all rights in the platform, our website, our trademarks (including Aqurio, SmartAgent, SmartEngage, and SmartAnalytics), and our documentation. Feedback you provide may be used by Aqurio without obligation, but we will not publicly attribute feedback to you without consent.
7. Fees and billing
Fees, billing terms, and payment schedules are described in your order form. Unless otherwise stated, fees are non-refundable and exclusive of taxes. Late payments may accrue interest and may result in suspension of service after reasonable notice.
8. Term and termination
These terms remain in effect while you use the platform. Your customer contract governs paid-subscription term and termination. Either party may terminate for material breach uncured for 30 days following written notice. On termination, your access ceases and we will return or delete Customer Data as described in the BAA and MSA.
9. Warranties and disclaimers
We provide the platform with reasonable care and skill in accordance with industry standards. Except as expressly stated in a written agreement with us, the platform is provided "as is" and Aqurio disclaims all implied warranties to the maximum extent permitted by law, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of liability
To the maximum extent permitted by law, Aqurio's aggregate liability arising out of or related to these terms or the platform will not exceed the fees paid by you to Aqurio in the twelve months preceding the event giving rise to the claim. In no event will Aqurio be liable for indirect, incidental, special, consequential, or punitive damages, even if advised of the possibility.
11. Indemnification
You agree to defend, indemnify, and hold harmless Aqurio from third-party claims arising from your violation of these terms, your Customer Data, or your use of the platform in violation of law. Aqurio will defend you against third-party claims that the platform infringes a valid intellectual property right, subject to standard exceptions described in the MSA.
12. Governing law and disputes
These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. The parties consent to exclusive jurisdiction in the state and federal courts located in Wilmington, Delaware. The U.N. Convention on Contracts for the International Sale of Goods does not apply.
13. Changes to these terms
We may update these terms from time to time. Material changes will be highlighted on this page and, where appropriate, communicated by email. Continued use of the website or platform after updates take effect constitutes acceptance.
